The challenge

Xenco and Anderson Zaks, both UK-based, PCI DSS Level 1 certified Payment Services Providers, agreed to combine resources and strengthen their card-transaction services. Between them they cover authorisation and settlement, mobile and on-board transactions, unattended payment terminals, recurring payments, gift and loyalty cards and dynamic currency conversion.

Each ran its own legacy HR system. To avoid carrying two systems in parallel through the merger, both needed to be optimised and combined into one common structure, ready before the deal completed.

Team Wheel’s approach

We treated the HR systems as something to align deliberately, not merge by accident, so the combined business could start from one clear structure.

  1. Audited what was thereRan a full audit of Xenco’s HR systems and procedures, and advised how they could adapt to dovetail with the incoming partner’s.
  2. Took the best of bothCherry-picked the strongest methods from each company and developed a common structure for the merged business.
  3. Migrated ahead of the mergerAdvised on moving to the shared platform before completion, so the merger itself could proceed with as little disruption as possible.

The results

The merger completed with both parties holding a clear understanding of each other’s strengths and capabilities, and with Xenco’s HR in a state of readiness and transparency, at the point of merger and beyond.

By staying agile with our team, our resource and our expertise, we delivered an HR environment that worked: one both teams could dovetail with minimal disruption. It’s the kind of engagement we can shape to a client wherever they are in the business cycle, whether natural growth or merger and acquisition.
